Terms of Use

By clicking "I Accept," creating an account, or accessing the Services, you enter into a legally binding electronic agreement with IQA. If you use the Services on behalf of an organization, you represent that you have the authority to bind said organization to these Terms.

• Permitted Use:You are granted a limited, revocable license to use the Services for lawful business and research purposes.
• Eligibility:You must be at least 18 years of age and possess the legal capacity to form a binding contract.
• Availability:IQA does not guarantee uninterrupted access and reserves the right to modify or discontinue Services without notice.

You are responsible for maintaining the confidentiality of your credentials. You must notify IQA immediately at security@inductivequotient.com of any unauthorized access. IQA is not liable for losses resulting from your failure to safeguard your account.

Certain features of our Services, particularly our technology Platforms, require account registration. When creating an account, you agree to:

• All content, software, and trademarks (including InductiveEDC™, TrialLattice™, and Clinevra™) are the exclusive property of IQA.
• Feedback & AI/ML License: Users acknowledge that any feedback or suggestions provided may be utilized by IQA to train and improve its proprietary Artificial Intelligence (AI) and Machine Learning (ML) models. Users hereby grant IQA an irrevocable, perpetual, and royalty-free license for such utilization.

In addition to prohibiting hacking, scraping, or spreading malware:

• Data Fraud Protections: Any intentional introduction of fraudulent, falsified, or tampered Clinical Data into IQA Platforms shall result in immediate termination of access. IQA reserves the right to report such conduct to relevant regulatory authorities, including the FDA, EMA, and CDSCO, without prior notification.

You agree to hold IQA’s non-public technical and business information in strict confidence. This obligation survives the termination of your access to the Services.

• Disclaimer of Warranties: THE SERVICES ARE PROVIDED "AS IS." IQA DISCLAIMS ALL WARRANTIES, INCLUDING MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.
• Cap on Liability: IQA’s total aggregate liability for any and all claims arising out of or related to these Terms shall be limited to the liability cap expressly set forth in the applicable Statement of Work (“SOW”) and/or Master Services Agreement (“MSA”), as the case may be.

You agree to defend and hold IQA harmless from claims arising from your use of the Services, your violation of these Terms, or your infringement of thirdparty rights.

• Governing Law: These Terms shall be governed by and construed in accordance with the laws of the Republic of India.
• Arbitration: Any disputes arising hereunder shall be subject to binding arbitration in Hyderabad, Telangana, India, pursuant to the Arbitration and Conciliation Act, 1996. The proceedings shall be conducted in English by a sole arbitrator.
• Class Action Waiver: You agree to bring claims only in an individual capacity and not as a plaintiff or class member in any purported class proceeding.

IQA may suspend or terminate your access for violations of these Terms, nonpayment, or security risks. Upon termination, your right to use the Services ceases immediately.
